These Terms of Service (“Terms”) govern your access to and use of the websites, online platforms, applications, digital services, and other online properties owned or operated by Northeast Alternatives, Inc. d/b/a Sapura, including without limitation sapuralife.com (collectively, the “Site”).

By accessing or using the Site, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not access or use the Site.

Sapura may modify or update these Terms at any time without notice. Your continued use of the Site constitutes acceptance of the revised Terms.

The Site supports Sapura’s adult-use and medical cannabis retail and wholesale operations in Michigan.

2. Legal Eligibility

1. individuals 21 years of age and older, or
   
2. individuals 18 years of age or older who possess a valid MMMP medical cannabis registration card.
   

By using the Site, you represent and warrant that you satisfy the legal age requirement applicable to you. You will not misrepresent your age or identity, nor permit others to access the Site using your account or information.

The Site is not intended for, and must not be used by, any person under the age of 18.

3. Nature of Information Provided

Information on the Site, including product descriptions, educational content, and informational materials, is provided solely for informational and marketing purposes.

Nothing on the Site constitutes medical, legal, or professional advice.

Always consult a qualified healthcare provider regarding medical questions.

4. Authorized Use of the Site

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Site solely for personal, lawful purposes.

You agree that you will not:

5. Orders, Payments, and Online Purchasing

All retail transactions are facilitated through third-party cannabis commerce platforms, such as Dutchie.

Pricing, product availability, weight, tax, and discount information displayed on the Site may differ from in-store or platform-based information and is not guaranteed until checkout is completed through the retail ordering system.

Sapura makes no guarantee regarding the availability of any advertised item online or in-store.

Wholesale ordering is available only to licensed cannabis entities and is subject to separate written agreements.

6. Privacy & Data Use

Our Privacy Policy governs the collection, use, storage, and disclosure of personal information collected through the Site, including Personally Identifiable Information and data relating to cannabis purchases.

Personal information may be shared with Sapura’s affiliates and contracted service providers.

By using the Site, you consent to our data practices as detailed in the Privacy Policy and acknowledge that Sapura may communicate with you through email, SMS, MMS, push notifications, or other channels.

You may opt out of promotional communications at any time.

7. Michigan Legal Compliance

Cannabis remains illegal under federal law.

Cannabis goods sold or distributed by Sapura are intended exclusively for lawful possession and use within the State of Michigan, in accordance with state adult-use and medical cannabis regulations.

You agree that you will not:

• Transport cannabis outside Michigan,
• Resell products unlawfully, or
• Use products in violation of Michigan law.

Law enforcement and licensing authorities may request information. Sapura will comply with valid legal requests.

8. Third-Party Links & Services

The Site may contain links to third-party websites, platforms, content, or services.

Such links are provided for convenience only and do not constitute endorsement.

Sapura does not control or accept liability for third-party web properties, their security practices, their products, or their policies.

9. Intellectual Property

All content on the Site—including trademarks, names, product packaging, images, illustrations, video, copy, logos, layouts, code, and other materials—is owned or licensed by Sapura or its affiliates.

You may not copy, modify, distribute, republish, transmit, sell, or create derivative works based on any Site content without Sapura’s express written consent.

14. Governing Law & Jurisdiction

These Terms shall be governed exclusively by the laws of the State of Michigan, without regard to conflict of law rules.

If any provision of these Terms is held invalid, the remaining provisions shall continue in full force and effect.

Sapura may suspend or terminate Site access at any time, without notice, and for any reason.
